1. Agreement
These Terms govern access to and use of EZ-CRM, a legal case-management service provided by Wise Digital Inc.. By creating an account, accepting an invitation, or using the service, you agree to these Terms and to our Privacy Policy. If you use the service on behalf of a law firm, you represent that you are authorized to bind that Firm.

2. The service
EZ-CRM helps law firms manage cases, clients, documents, calendars, team collaboration, and client-portal communications. Wise Digital Inc. is not a law firm and does not provide legal services, legal advice, or an attorney-client relationship. The service is a tool used by licensed attorneys, firm staff, and authorized users who remain solely responsible for their professional obligations, including competence, confidentiality, conflicts, supervision, and compliance with court and bar rules.

3. Eligibility and accounts
The service is for law firms and their authorized staff. You must provide accurate information, keep your credentials and second-factor secure, and are responsible for activity under your account. Accounts are role-based; administrators are responsible for the users they invite and the permissions they grant.

4. Data roles and confidentiality
Each Firm is the controller of the client and matter data it enters; Wise Digital Inc. acts as a processor that stores and processes that data under the Firm's instructions and our data-processing terms. We maintain tenant isolation so that one Firm cannot access another Firm's data. We treat all client and matter data as confidential and restrict access to what is necessary to operate and support the service. The Firm is responsible for obtaining any client consents and for its own professional-responsibility and privilege obligations.

5. Acceptable use
You agree not to: use the service unlawfully or in violation of professional rules; upload malware or attempt to breach security or tenant isolation; access data you are not authorized to access; reverse engineer or disrupt the service; or use the service to send unlawful, infringing, or harassing content. We may suspend access for conduct that threatens the security or integrity of the service or other Firms' data.

6. Client portal
Where a Firm enables a client portal, the Firm is responsible for what it shares with each client and for verifying recipients. Portal access is credential-based and rate-limited; the Firm should revoke access when a matter or relationship ends.

7. Intellectual property
Wise Digital Inc. retains all rights in the software and service. Firms retain all rights in their data. You receive a limited, non-exclusive, non-transferable right to use the service during your subscription.

8. Third-party services
The service integrates optional third-party services (for example, Google Drive, mapping, and email delivery). Your use of those integrations is subject to the third parties' terms, and we are not responsible for their acts or omissions.

9. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or that AI-assisted or automated outputs are accurate or suitable; a licensed attorney must independently review all legal work product.

10. Limitation of liability
To the maximum extent permitted by law, Wise Digital Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from the use of the service. Our aggregate liability is limited as set out in the applicable subscription agreement.

11. Termination
You may stop using the service at any time. We may suspend or terminate access for breach of these Terms or where required by law. On termination, data handling follows the Privacy Policy and the applicable data-processing terms.

12. Changes and governing law
We may update these Terms; material changes will carry a new version identifier and effective date, and acceptance may be requested at next sign-in. The governing law and venue will be set out in the applicable subscription agreement.
